Entity Formations

Do you really need a lawyer in order to form a legal entity? There’s more to it than simply filing a charter with the secretary of state. Lerner Venture Law routinely helps founders select the right type of entity and jurisdiction of organization, allocate equity among initial stakeholders and put in place a suite of standard startup documentation that prospective investors and acquirers will typically demand at later stages. Corporate Finance

Startups need capital in order to succeed. Lerner Venture Law has broad experience with different types of startup financing, from “pre-seed” rounds at the earliest stages (convertible notes and SAFE financings) to priced rounds involving preferred stock (Series Seed, Series A and beyond). The firm also assists with venture debt facilities and other forms of commercial financing.


General Corporate Matters
